Non-executive directors are chosen for the balance of skills and experience they will bring to the board. They must complement the executive team and be capable of providing an independent and impartial view of the board's considerations and decisions while identifying strongly with the company's affairs.

Independence of thought, strength of character and a pragmatic approach are essential, as is the ability to compromise. The demands of the role call for courage, integrity, common sense, good judgement, tenacity and diplomacy, together with an ability to listen carefully and to communicate with clarity, objectivity and brevity.

The specific background, experience and special disciplines required of the non-executive director naturally will depend on the qualities of the other directors on the board and the company concerned. Board-level experience of larger– but not necessarily related – enterprises is often needed, together with business acumen, clarity of thought and a strong financial awareness.
