The Finance & Commercial Director is a senior leadership role responsible for the financial stewardship, governance, and performance of STS Marine Solutions, a subsidiary within Breakwater Investments. The role ensures that the company’s financial operations, reporting, and controls are robust, compliant, and fully aligned with both local business objectives and group financial policies and requirements.

As a key member of the Senior Management Team, the Finance & Commercial Director works closely with the Managing Director to support the delivery of the company’s strategic objectives, while also maintaining a functional reporting relationship with the Group CFO to ensure consistency of financial reporting, accounting policy, treasury, and control frameworks across the group.

The post holder acts as a trusted advisor, strategic partner, and ambassador for the business, contributing financial and commercial insight to support sustainable growth, value creation, and long-term decision making. The role requires active participation in strategic planning, leadership decision making, and engagement with group and external stakeholders.

The Finance & Commercial Director provides leadership across financial planning, control, cash management, governance, risk, tax oversight, and commercial insight. A critical aspect of the role is the preparation of high quality, accurate, and timely board and group reporting, ensuring clear analysis and communication to support informed decision making at both company and group level.

Leadership & Strategy:
• Act as a senior leader within STS Marine Solutions, deputising for the Managing Director as required.
• Play a central role in shaping and delivering the company’s strategic and operational plans, ensuring alignment with wider group objectives.
• Contribute beyond finance, engaging in broader organisational initiatives, cross functional leadership, and strategic discussions.
Financial Planning, Control & Reporting
• Lead the development of robust budgets, forecasts, and long range plans, ensuring accuracy, transparency, and alignment with both business and group priorities.
• Oversee financial control and statutory reporting under UK GAAP, ensuring compliance with all applicable standards and regulations.
• Maintain awareness of IFRS standards and manage any UK GAAP to IFRS differences arising from group reporting requirements.
• Prepare and deliver monthly, quarterly, and annual board packs and group reporting, ensuring exceptional quality, insight, and timeliness.
• Act as the primary financial interface with the Group CFO on reporting, accounting policy, controls, and financial governance.
Treasury, Cash & Working Capital
• Retain full ownership of cash management, liquidity, and working capital for STS Marine Solutions within agreed group treasury parameters.
• Manage foreign exchange exposure, ensuring appropriate identification, monitoring, and mitigation of FX risks.
• Support dividend planning, cash repatriation, and funding flows to the parent company in line with group policy and local requirements.
Commercial & Performance Insight
• Provide high quality financial and commercial analysis to support decision making, investment appraisal, and performance improvement.
• Partner closely with the Head of Commercial and wider leadership team to drive revenue growth, margin improvement, and commercial discipline.
• Establish, monitor, and report on KPIs across finance and commercial functions, taking corrective action where required
Intercompany, Transfer Pricing & Group Compliance
• Oversee intercompany transactions, balances, and reconciliations, ensuring accuracy and transparency.
• Ensure compliance with group transfer pricing policies and documentation requirements, working closely with group finance and external advisors as required.
• Support audits and reviews relating to intercompany arrangements and cross border transactions.
Tax Oversight
• Maintain strong oversight of the company’s tax framework, despite the outsourcing of tax return preparation and submission.
• Ensure appropriate understanding and management of corporation tax, VAT, payroll taxes, and other relevant tax matters.
• Act as the key internal contact for external tax advisors and group tax teams, ensuring risks are identified and managed proactively.
Governance, Risk & Controls
• Maintain strong financial governance frameworks aligned with both local statutory requirements and group policies.
• Lead the identification, assessment, and mitigation of financial, operational, and strategic risks.
• Ensure effective internal controls, policies, and procedures are in place and operating effectively.
• Oversee internal and external audit processes, ensuring readiness and timely resolution of findings.
People Leadership
• Build, lead, and develop a high performing finance and commercial function.
• Set clear objectives, performance expectations, and development plans for direct reports.
• Foster a culture of accountability, continuous improvement, professionalism, and integrity.
Performance & Accountability
• Accountable for the financial performance of STS Marine Solutions, including delivery against budgets, forecasts, and strategic targets.
• Ensure accurate, timely, and high-quality financial reporting to the Managing Director, Board, and Group CFO.
• Drive continuous improvement in financial processes, systems, and reporting capabilities.

Essential:
Qualifications & Professional Memberships:
• Chartered Accountant (ACA, ACCA, CIMA or equivalent).
Experience:
• Significant experience in a senior finance leadership role, ideally at Director or equivalent level.
• Proven experience overseeing commercial activities, working closely with legal teams and contract specialists, and applying a strong understanding of contract management principles.
• Proven track record of leading financial strategy, planning, control, and governance.
• Strong experience of board level and group reporting, including preparation of high-quality board packs.
• Demonstrable experience in cash management, treasury, financial controls, and risk management.
• Ability to operate effectively within a senior leadership team, contributing beyond functional responsibilities.
• Excellent communication skills, with the ability to present complex financial and commercial information clearly and concisely.
• Strong commercial awareness and business acumen.

• Postgraduate qualification in finance, business, or leadership.
Experience:
• Experience within a private equity backed, group, or growth focused organisation.
• Exposure to IFRS reporting and management of UK GAAP / IFRS differences.
• Experience of intercompany accounting, transfer pricing compliance, and cross border operations.
• Experience supporting business growth, transformation, or strategic change.
• Exposure to multi-entity or international group structures.
